MULTISPEAK® VERSION 2.0 LICENSE AGREEMENT

READ CAREFULLY BEFORE CONTINUING!

IMPORTANT-READ THIS AGREEMENT BEFORE DOWNLOADING THE SPECIFICATION! BY CLICKING "I AGREE", YOU AGREE TO BE BOUND BY THIS AGREEMENT.

This legal document is a license agreement between your company ("You") and National Rural Electric Cooperative Association ("NRECA").

In consideration of the right to use NRECA's MultiSpeak® Specification Version 2.0 ("Specification"), You agree to abide by the terms and conditions of this Agreement.

NRECA grants You permission to download and make electronic or physical copies of the Specification, to incorporate the Specification into software, and to grant to purchasers of that software a nonexclusive, nontransferable license to use that software (including the Specification). This license does not authorize the use of any MultiSpeak® trademark or service mark; use of those marks will be governed by a separate license.

By accepting this license, You agree that any information You have disclosed or contributed during the creation of any MultiSpeak® specification can be incorporated into the Specification and subsequent versions and that neither NRECA nor users of any MultiSpeak® specification will be required to pay You for the information or the right to use it, even if this agreement is terminated. You also agree that you will not make or maintain any claim against NRECA or any users of any MultiSpeak® specification, even if this agreement is terminated, based on any of Your intellectual property rights that you believe are infringed by the use of a MultiSpeak® specification.

Neither NRECA nor any MultiSpeak® Vendors that participated during the development of the Specification view vendors list make any representation or warranty, express or implied, with regard to MultiSpeak® Specification Version 2.0, including but not limited to any warranty of ownership or non-infringement, compatibility with other software, merchantability, or fitness for a particular purpose. Neither NRECA nor any MultiSpeak® Vendors that participated during the development of the specification view vendors list shall be liable for errors contained herein or for incidental or consequential damages in connection with the furnishing, performance or use of the Specification or subsequent versions. The Specification is subject to change without notice.

This Agreement begins when You click "I Agree" below and ends only when terminated. You may terminate this Agreement by destroying the Specification and any copy of the Specification.

This Agreement will also terminate if You fail to comply with any of the terms of this Agreement.

This Agreement is our whole agreement with respect to the Specification. If You and NRECA had any other kind of agreement relating to the Specification before now, then that agreement is ended. If You and NRECA talked about something relating to the Specification before You accepted this Agreement, then what was said is not an agreement.

You will submit this Agreement electronically and agree that the electronic version of the Agreement shall have the same legally binding effect as an original paper version would have.

You acknowledge that You have read all of the above terms and conditions, understand them, and agree to be bound by them.
